Corporate Governance Code

The Austrian Corporate Governance Code is a system of rules in accordance with international standards for the responsible management and guidance of companies in Austria. It was developed by the Austrian Working Group for Corporate Governance in 2002. The Code was amended in August 2005, January 2006, June 2007, January 2009 and January 2010.

The Corporate Governance Code encompasses a total of 80 rules. 30 of these rules quote existing and binding legal regulations (“L-Rules - Legal Requirement), such as those of stock exchange or stock corporation law. There are 45 “C-Rules“ (Comply or Explain), in which the company is required to explain any deviations. The remaining 5 rules are “R-Rules“ , which represent “recommendations“. Non-compliance with these rules does not have to be disclosed or explained.

HTI completely complies with the legal provisions contained in the Corporate Governance Code. HTI also adheres to most C-Rules.
